This article will walk you through our fast and secure process for incorporating your company through the Shoobx Incorporation Workflow.
Once you’ve finished entering all of your information, Shoobx will take care of the rest and submit your information to Delaware. The document being filed to incorporate your company goes by many names (Articles of Incorporation and Certificate of Incorporation to name a few), but it is most commonly referred to as your company's Charter.
Let's get started and incorporate your company!
The starting page for the "Incorporation" Workflow details the filing fees you will encounter and a link to the checklist of things you will need to know in order to complete this workflow.
This screen will ask for the incorporator’s address. This is not to be confused with the company address, which will come later (see Step 7). Your incorporator is whoever signs the Certificate of Incorporation and prepares the “Consent of Sole Incorporator,” which names the members of the board and hands power over to them (read more here: Call Me the Incorporator).
This screen directs you to pick the exact legal name that your company will register with the state of Delaware. It also points you to Delaware's name reservation database, so you can check if your desired name is available.
The information provided below will appear on your company's Charter. We default to 10,000,000 shares and a par value of $0.0001 as these are common figures used by many companies.

Add the total number of seats you would like to allocate to your Board of Directors. (Check out our blog post, Smooth Sailing: Choosing the Right Number of Board Seats for more information on choosing your board.)
If you know who will be occupying a particular board seat, enter their information. New Shoobx users will receive an email invitation to set up their Shoobx account when the workflow is complete.
The Checkpoint page allows to you review, and in some cases edit, the documents that have been created.
You'll also have the option to share the documents in case you'd like someone to review them before they are signed and/or filed.
Now you will provide the company address. This information will be used when Shoobx needs to include your company's address on a legal document, and for billing purposes to determine whether you are operating in a state that charges sales tax on software.
This page will direct you to review and sign the Certificate of Incorporation (Charter) along with the Consent in Lieu of Meeting of Sole Incorporator. The Bylaws are not signed.
On the payment screen, you'll pay Shoobx to handle your Delaware filing fees and the first year of your registered agent service.
Note that having a registered agent is required for all Delaware corporations who do not have an office in the state. You can learn more in our blog post, Understanding Your Registered Agent.
In this final screen, you've completed all of the work you need to do, and you'll just wait for Shoobx to submit your filing to Delaware and for Delaware to make your incorporation official.
You can return to this "Wait for Filing" page at any time to check on the status of your company's incorporation. When your filed Charter is returned from Delaware, we will upload it to your account and send you a hard copy in the mail.
