This article will walk you through our fast and securely enhanced process for incorporating your company through the Shoobx Incorporation Workflow.
Once you’ve finished entering all of your information, we'll submit your Certificate of Incorporation to Delaware for filing and alert you when the filing process is complete.
Let's get started and incorporate your company!
Step 1
The starting page for the "Incorporation" Workflow details the filing fees you will encounter and some tips for completing the workflow.
Step 2
This screen will ask for the incorporator’s address. Your incorporator is whoever signs the Certificate of Incorporation and prepares the “Consent of Sole Incorporator,” which names the members of the board (read more here: Call Me the Incorporator).
Step 3
The next screen asks you to pick the legal name that your company will register with the state of Delaware. It also points you to Delaware's name reservation database, so you can check if your desired name is available.
Note - If you have already reserved a name with Delaware, please reach out to us, as some additional information will be required.
Step 4
The information provided below will appear on your company's Charter. We default to 10,000,000 shares and a par value of $0.0001 as these are common figures used by many companies.

On this screen you can also indicate if you would like to manage your company's registered agent relationship, or have us do that for you (the fee for the first year is included in our incorporation package, and each year afterwards will be $100). More information on registered agent services can be found here.
Step 5
The next page allows you to designate members of your board of directors. (Check out our blog post, Smooth Sailing: Choosing the Right Number of Board Seats for more information on choosing your board.)
If you know who will be occupying a particular board seat, enter their information. If any of these individuals are new to Shoobx, they will receive an email invitation to set up their account when the workflow is complete.
Step 6
The Checkpoint page allows to you review, and if needed, edit the documents that have been created.
You'll also have the option to share the documents in case you'd like someone to review them before they are signed and/or filed.
Step 7
Next you will provide the company address. This information will be used as needed on legal documents, and for billing purposes to determine whether you are operating in a state that charges sales tax on software.
Step 8
The next page will direct you to review and sign the Certificate of Incorporation (Charter) along with the Consent in Lieu of Meeting of Sole Incorporator. The Bylaws are not signed.
Step 9
On the payment screen, you'll pay for the Delaware filing fees and the first year of registered agent service. You'll also see that the first year of Shoobx subscription fees is waived for companies that incorporate with us. From here the documents will be submitted to our team to complete your Charter filing with Delaware.
Step 10
The final screen shows you the steps coming up now that the filing is in process.
You can return to this "Wait for Filing" page at any time to check on the status of your company's incorporation. When your filed Charter is returned from Delaware, we will upload it to your account and you'll receive an email letting you know your incorporation process is complete.
