You may be looking to upload previously hand-crafted option grants on our platform instead of having it automatically generate option grants for a few reasons, including having non-US grants that need to be custom crafted by your lawyer outside of the platform. This article outlines how to upload custom grant documents to be executed through the platform during the Grant Shares workflow. The first steps will be identical to running the Grant Shares or Options Under Stock Incentive Plan workflow. Start the workflow and choose Create New Stock Grant(s). You will be asked to define the Stock Incentive Plan for the grant (if applicable) and will be asked to provide evidence of fair market value.
List Grant Recipients
On the List Grant Recipients page click on Add Grant. At the bottom of the Define Grant page there is a checkbox to Upload Custom Grant Document for Execution. Checking this box allows you to upload a grant document that you or your lawyer have already created outside of the platform but has not yet been signed.
Upload Grant Document
You will be asked to upload the grant document. Click Choose a file to upload the document from your computer, or you can select Pick an Existing Document if it has already been uploaded into your Data Room.
It's important to note that a signature block will be added to the uploaded document. If your document already has a signature block, you may want to remove it from the document.
Finishing the Workflow
Continue running the workflow. The Constraints, Request Approvals, and Checkpoint steps will function in the exact same way, except that the custom document is sent out for approval instead of a generated document using our template and cannot be edited from the Checkpoint.
